Specific service terms, deliverables, timelines, and fees are outlined in individual engagement letters or statements of work, which form part of the agreement between you and Metrova.
4. Engagement Terms
4.1 Scope of Work
Each consulting engagement is governed by a specific engagement letter that defines the scope of work, deliverables, timeline, and fees. The engagement letter, together with these Terms and Conditions, constitutes the complete agreement between the parties.
4.2 Fees and Payment
Our consulting services are provided on a fixed-fee basis as specified in the engagement letter. Payment terms are:
- Fees are stated in Hong Kong Dollars (HKD)
- Payment is due according to the schedule specified in the engagement letter
- Late payments may incur interest charges
- All fees are exclusive of applicable taxes
4.3 Cancellation and Refunds
Either party may terminate an engagement with written notice as specified in the engagement letter. In the event of termination, fees will be prorated based on work completed and deliverables provided up to the termination date. Refunds, if applicable, will be processed within 30 business days of termination.
5. Client Responsibilities
To enable us to provide effective consulting services, you agree to:
- Provide accurate and complete information as requested
- Grant reasonable access to relevant personnel and documentation
- Respond to inquiries and requests in a timely manner
- Designate appropriate contacts within your organization
- Review deliverables and provide feedback within agreed timeframes
- Maintain confidentiality of our methodologies and proprietary approaches
6. Intellectual Property Rights
6.1 Our Intellectual Property
All intellectual property rights in our methodologies, frameworks, templates, and analytical approaches remain the exclusive property of Metrova. You receive a limited, non-exclusive license to use deliverables provided under an engagement solely for your internal business purposes.
6.2 Client Information
You retain ownership of all information, data, and materials you provide to us. By engaging our services, you grant us a license to use this information for the purpose of delivering the agreed consulting services.
7. Confidentiality
We maintain strict confidentiality regarding all client information and engagement details. Both parties agree to:
- Protect confidential information from unauthorized disclosure
- Use confidential information only for purposes of the engagement
- Return or destroy confidential information upon request
- Ensure employees and subcontractors maintain confidentiality
8. Disclaimers
Our consulting services are provided on an "as is" basis. We make no representations or warranties regarding:
- Achievement of specific business results or outcomes
- Accuracy of third-party information used in our analysis
- Future market conditions or competitive developments
- Suitability of recommendations for your specific circumstances
Our services provide professional advisory opinions and recommendations. Implementation decisions and results remain your responsibility.
9. Limitation of Liability
To the maximum extent permitted by law, Metrova's total liability for any claims arising from or related to our services shall not exceed the fees paid by you for the specific engagement giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business opportunities, even if advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold Metrova harmless from any claims, losses, or damages arising from your use of our services, implementation of recommendations, or breach of these Terms and Conditions.
11. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation.
12. Professional Standards
Our consulting services are performed in accordance with generally accepted professional consulting standards. We maintain professional independence and objectivity in all engagements.
13. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, labor disputes, or other force majeure events. Affected obligations will be suspended during the continuance of such circumstances.
14. General Provisions
14.1 Entire Agreement
These Terms and Conditions, together with any engagement letter, constitute the entire agreement between the parties and supersede all prior discussions and agreements.
14.2 Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.3 Waiver
Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
14.4 Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
15. Changes to Terms
